These Terms of Service ("Terms") govern your access to and use of the ReplyFlow platform, website at https://tryreplyflow.com, and all related services (collectively, the "Service") provided by ReplyFlow ("we," "us," or "our").

By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use the Service.

1. Service Description

ReplyFlow is an AI-powered review and reputation management platform that enables businesses to:

• Monitor and manage reviews, social media comments, and marketplace feedback across 30+ platforms from a unified dashboard.
• Generate AI-powered responses to reviews, comments, and feedback in your brand voice.
• Analyze customer sentiment, track reputation trends, and gain actionable business insights.
• Manage leads, generate content, and automate outreach campaigns.
• Connect to third-party platforms including Google Business Profile, Facebook, Yelp, Instagram, TikTok, Amazon, and other supported integrations.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that affect your use of the Service.

2. Account Registration and Security

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password secure and confidential. You are responsible for all activity that occurs under your account.
• Notify us immediately if you suspect unauthorized access to your account.
• Not create more than one account per individual, or create accounts for others without their permission.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are inactive for an extended period.

3. Subscription Plans and Billing

3.1 Plans and Pricing

ReplyFlow offers the following subscription plans, billed in United States Dollars (USD):

• Starter: $49 per month
• Professional: $79 per month
• Business: $149 per month

Annual billing is available at a discounted rate. Prices are subject to change with 30 days' prior notice.

3.2 Free Trial

New users are eligible for a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, your account will be downgraded unless you subscribe to a paid plan. You will not be charged automatically at the end of the trial.

3.3 Payment Processing

All payments are processed securely through Paystack. By subscribing to a paid plan, you authorize us to charge your selected payment method on a recurring basis (monthly or annually) until you cancel. You are responsible for providing valid and up-to-date payment information.

3.4 Refunds and Cancellations

• You may cancel your subscription at any time from your account settings or by contacting us.
• Upon cancellation, your subscription remains active until the end of the current billing period. No partial refunds are issued for unused time within a billing cycle.
• If you cancel during the free trial, no charges will be applied.
• Refund requests for exceptional circumstances (e.g., accidental charges, service outages) will be evaluated on a case-by-case basis. Contact us at mdlulipenuel@gmail.com within 14 days of the charge.

3.5 Usage Limits

Each plan includes specific usage limits (e.g., number of AI responses, business locations, platform connections). If you exceed your plan's limits, you may be prompted to upgrade to a higher plan. We will notify you before any overage charges are applied. Usage limits reset at the beginning of each billing cycle.

4. AI-Generated Content

4.1 Nature of AI Content

ReplyFlow uses artificial intelligence technology to generate review responses, social media replies, blog posts, outreach emails, and other content ("AI Content"). You acknowledge and agree that:

• AI Content is generated automatically based on algorithmic analysis and may not always be perfectly accurate, appropriate, or complete.
• AI Content is provided as suggestions only. You are solely responsible for reviewing, editing, and approving all AI Content before it is published or sent.
• We do not guarantee the accuracy, quality, or suitability of any AI Content for your specific use case.
• AI Content should not be relied upon as professional, legal, medical, financial, or other specialized advice.

4.2 Responsibility for Published Content

You are solely responsible for any content you publish, post, or send through the Service, whether generated by AI or written manually. This includes reviews responses posted to third-party platforms, social media replies, outreach emails, and any other communications. ReplyFlow is not liable for any consequences arising from content you choose to publish.

4.3 Auto-Response Feature

If you enable auto-response features, AI Content may be published automatically to connected platforms without manual review. By enabling this feature, you accept full responsibility for all automatically published content and acknowledge the inherent risks of automated publishing.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right.
• Post, generate, or distribute defamatory, abusive, harassing, threatening, obscene, or otherwise objectionable content.
• Generate fake reviews, misleading testimonials, or deceptive content designed to manipulate consumer perceptions.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Send unsolicited spam, phishing messages, or other unauthorized communications through the Service.
• Attempt to gain unauthorized access to the Service, other user accounts, or related systems.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or algorithms of the Service.
• Use automated scripts, bots, or tools to access the Service in a manner that exceeds reasonable usage or circumvents rate limits.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to compete with ReplyFlow or build a competing product or service.
• Resell, sublicense, or redistribute access to the Service without our prior written consent.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice or refund.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, features, code, algorithms, AI models, documentation, logos, trademarks, and all related intellectual property, is owned by ReplyFlow and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes in accordance with these Terms.

6.2 Your Content

You retain ownership of all content you provide to the Service, including your business information, brand voice settings, reviews, and custom responses ("Your Content"). By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, process, and display Your Content solely for the purpose of providing and improving the Service.

6.3 AI-Generated Content Ownership

AI Content generated through the Service for your account is licensed to you for your use. You may use, modify, publish, and distribute AI Content generated for your account. However, we do not guarantee exclusive ownership of AI Content, as similar outputs may be generated for other users based on similar inputs.

6.4 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use and incorporate such feedback into the Service without obligation to you.

7. Third-Party Integrations

The Service integrates with third-party platforms (such as Google, Facebook, Yelp, Instagram, TikTok, Amazon, and others). You acknowledge and agree that:

• Your use of third-party platforms is governed by their respective terms of service and privacy policies.
• We are not responsible for the availability, accuracy, or functionality of third-party platforms.
• Third-party platforms may change their APIs, terms, or policies at any time, which may affect the availability of certain features in the Service.
• You are responsible for complying with the terms of service of each third-party platform you connect to ReplyFlow.
• We may suspend or remove integrations that violate third-party platform policies.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

You agree to indemnify, defend, and hold harmless ReplyFlow and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service or any content you publish through the Service.
• Your violation of these Terms or any applicable law or regulation.
• Your infringement of any third-party right, including intellectual property rights.
• Any dispute between you and a third party arising from your use of the Service.

12.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through the account settings, or by contacting us at mdlulipenuel@gmail.com.

We may suspend or terminate your account and access to the Service at any time, with or without cause, including but not limited to:

• Violation of these Terms or the Acceptable Use Policy.
• Non-payment of subscription fees.
• Fraudulent, abusive, or illegal activity.
• Extended account inactivity.
• Requests by law enforcement or government agencies.

12.3 Effect of Termination

Upon termination:

• Your right to access and use the Service will immediately cease.
• We may delete your account data within 30 days, subject to our data retention obligations.
• You may request an export of your data prior to termination.
• Sections of these Terms that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, indemnification, and governing law provisions.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.

13.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at mdlulipenuel@gmail.com and attempt to resolve the dispute informally within 30 days.

13.3 Arbitration

If the dispute cannot be resolved informally, both parties agree to submit the dispute to binding arbitration administered in accordance with the Arbitration Act of South Africa. The arbitration shall be conducted in English and take place in South Africa. The arbitrator's decision shall be final and binding on both parties.

13.4 Jurisdiction

For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts of South Africa. You waive any objection to the exercise of jurisdiction by such courts and to venue in such courts.

13.5 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReplyFlow regarding the Service and supersede all prior agreements and understandings.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
• Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure failures, pandemics, or other force majeure events.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes that affect your rights or obligations, we will also notify you by email at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.
